These Terms and Conditions ("Agreement") govern your relationship with Iaculus ("we," "our," or "us"), a consultancy service provider. By engaging our services, you agree to the terms outlined in this document.

Services

Iaculus offers consultancy services that include, but are not limited to, brand strategy, market analysis, and operational guidance. The specific scope of services will be defined and mutually agreed upon in each individual contract.

Client Obligations

Clients must provide timely access to relevant information, key personnel, and data necessary to facilitate our services. Clients agree to:

• Collaborate in good faith to achieve mutually defined objectives.

• Notify Iaculus promptly of any changes or issues affecting service delivery.

• Comply with all applicable laws and regulations related to the services provided.

Fees and Payment Terms

Our fees are structured based on the services rendered and will be agreed upon in advance of each project. Payment terms will be outlined in individual contracts, with invoices typically payable within 30 days of receipt unless otherwise specified.

Intellectual Property

Any intellectual property, methodologies, strategies, or tools created or shared by Iaculus during the provision of services will remain the exclusive property of Iaculus unless otherwise agreed. Clients will receive a limited license to use any deliverables provided for their intended purpose.

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information, trade secrets, and other confidential materials shared during the engagement. Information shared for the purpose of providing services will only be used in connection with the execution of the agreement.

Limitation of Liability

While Iaculus strives to provide valuable and actionable advice, we do not guarantee specific results from our services. Under no circumstances shall Iaculus be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services.

Termination

Either party may terminate this agreement with 30 days' written notice. Termination will not relieve the client of their obligation to pay for any services rendered prior to the termination date. In cases of material breach, Iaculus may terminate the agreement immediately with written notice.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

9. Dispute Resolution

In the event of any dispute arising out of or relating to this Agreement, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved amicably, the parties agree to submit to the jurisdiction of the courts of [Country/State].

10. Amendments

We reserve the right to modify these terms at any time. Any changes will be communicated to clients in writing, and the revised terms will become effective upon such notice.

11. Entire Agreement

This document constitutes the entire agreement between the client and Iaculus and supersedes all prior agreements, whether written or oral, regarding the subject matter.Contact Us
